Terms of Service

Please read these Terms of Service ("Terms") carefully before using the website or services operated by AUTOLASTIC ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services

AUTOLASTIC provides AI-powered automation systems, including lead response, follow-up automation, and managed operations services ("Services"). The scope of Services provided to you is defined in the applicable service agreement, proposal, or order form executed between you and AUTOLASTIC.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent. By using our Services, you represent and warrant that you meet these requirements.

3. Accounts

To access certain features of our platform, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@autolastic.com if you suspect any unauthorized use of your account.

4. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable law, regulation, or third-party rights;
  • Send unsolicited commercial communications (spam) in violation of applicable law;
  • Transmit malicious code, viruses, or any disruptive or harmful content;
  • Attempt to gain unauthorized access to our systems or other users' accounts;
  • Resell or sublicense our Services without our prior written consent;
  • Use our Services in any manner that could damage, disable, or impair our platform or infrastructure.

5. Payment and Fees

Fees for our Services are set forth in your applicable service agreement. Unless otherwise stated, all fees are non-refundable. We reserve the right to modify our pricing with reasonable notice. If you fail to pay any amounts due, we may suspend or terminate your access to the Services.

6. Intellectual Property

All content, software, designs, and materials comprising our website and platform are the property of AUTOLASTIC or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in our intellectual property. You may not copy, modify, distribute, or create derivative works based on our content without our express prior written permission.

7. Client Data

You retain ownership of any data, content, or information you provide to us in connection with the Services ("Client Data"). You grant AUTOLASTIC a limited, non-exclusive license to use Client Data solely to provide and improve the Services. We will handle Client Data in accordance with our Privacy Policy.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTOLASTIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO AUTOLASTIC IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless AUTOLASTIC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Term and Termination

These Terms remain in effect while you use our Services. We may suspend or terminate your access to the Services at any time, with or without cause, with reasonable notice where practicable. Upon termination, all licenses granted to you hereunder will immediately cease. Provisions that by their nature should survive termination will survive, including Sections 6, 9, 10, 11, 13, and 14.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in New York, New York, and you hereby consent to personal jurisdiction in such courts.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

15. Entire Agreement

These Terms, together with any applicable service agreement or order form, constitute the entire agreement between you and AUTOLASTIC with respect to the Services and supersede all prior or contemporaneous understandings regarding the subject matter hereof.
